Terms of Business and Conditions of Sale:
GENERAL: All orders are accepted and goods supplied subject to our current prices on the date of receipt of such orders, and to the following Terms & Conditions. No waivers to these conditions are allowed other than under the signature of a director of Fane Acoustics Ltd. (the Company). Entering into a transaction with the Company implies full and knowing acceptance of these Terms & Conditions. PRICES: The Company does not intentionally or knowingly sell to retail consumers. All prices quoted are strictly to traders and industry professionals, ex-works and are subject to Value Added Tax at the prevailing rate. By entering into a transaction the purchaser warrants that this is strictly by way of trade, and is thereby excluded from action under any legislation intended to protect retail consumers’ rights. We reserve the right to change listed prices without prior notice.
PAYMENT: Payment by customers with an established credit account is due 30 days after the end of the month in which the respective goods are invoiced. In addition to any other remedies we reserve the right to charge interest on delayed payments from the due date on a day-to-day basis at a rate not exceeding 4% per annum above the base lending rate at the Royal Bank of Scotland from time to time in force. Any credit terms offered may be withdrawn at any time and without notice. Payment by other customers must be on a pre-paid basis. Credit and debit cards are accepted for pre-payment subject to normal authorization procedures.
CARRIAGE: Is normally charged in accordance with our published scale, which is designed to recover overall costs, subject to any offers or waivers presently in operation.
PRODUCTS: Any information contained in any of our catalogues or other descriptive material, including numerical data, has been prepared in good faith and only as a general guide to products so described. Intending buyers and users must satisfy themselves as to the suitability and safety of our products for their particular purposes and duties. No responsibility is assumed for any errors in our published descriptive literature. We reserve the right to alter the designs and material specifications of any products without prior notice.
INSPECTION: The buyer must inspect the goods at the earliest opportunity after receipt, and if no queries are raised within 3 days of receipt, will be deemed to have accepted the goods as delivered. In the event of any discovered shortage or defects, our liability will in all circumstances be limited (at our option) to repair, replacement or credit. No contingent liabilities will be accepted.
SHORTAGES, PILFERAGE OR DAMAGE: Shortage or damage should be notified, in writing, to both ourselves and the carrier, where applicable. In case of non-delivery please notify us within 14 days of the Invoice date.
INCORRECTLY ORDERED GOODS: No liability whatsoever can be accepted for incorrectly ordered goods or frustrated onward orders. If we agree in advance, in writing, to accept pristine goods for return, there will be a minimum 15% charge on the original invoiced value of the goods, provided always that they have remained in pristine, re-sellable condition. It is the customers responsibility to ensure that such goods reach us in perfect condition.
INTELLECTUAL PROPERTY RIGHTS: Products offered for sale by us may be the subject of patents, design rights, copyrights or other such protective restrictions. We reserve copyright absolutely in respect of our publications and our products.
JURISDICTION: All dealings are conducted and are to be interpreted in accordance with the Laws of England & Wales. Any proceedings are to be served at the Company’s registered office. |
